About these terms
These Terms and Conditions (the “Terms”) form a legally binding agreement between you and D7HS Tech, which operates the Atrix Studio brand and the website atrixstudio.in (together, “Atrix Studio,” “we,” “us,” or “our”).
They apply to your use of our website and to any enquiry, proposal or design, development or consulting service we provide (the “Services”). By using the website or engaging us, you agree to these Terms. If you do not agree, please do not use the website or our Services.
This document is an electronic record under the Information Technology Act, 2000 and the rules made under it. It is generated by a computer system and does not require a physical or digital signature.
02
Eligibility
To use our Services you must be at least 18 years old and able to enter into a binding contract under the Indian Contract Act, 1872. If you are accepting these Terms for a company or other organisation, you confirm that you have the authority to bind that organisation. In that case, “you” means that organisation.
03
Our services & engagements
Atrix Studio provides digital product services. These include strategy, brand identity, UI/UX design, web and mobile application development, SaaS and MVP development, AI integrations, marketing design and ongoing support.
Content on this website describes our Services in general terms. It is not an offer that becomes binding when you accept it. Each client engagement is governed by a separate written proposal, statement of work, or services agreement (an “Engagement Agreement”) that sets out scope, deliverables, timelines, fees and acceptance criteria.
- Unless the proposal states otherwise, quotes are valid for 30 days from the date of issue.
- Work begins only after both parties sign the Engagement Agreement and any agreed advance payment has been received.
- A change to the agreed scope requires a written change request. Changes may affect fees and timelines.
- If an Engagement Agreement conflicts with these Terms, the Engagement Agreement prevails for that engagement.
04
Fees & payment
Fees, payment milestones and invoicing terms are set out in each Engagement Agreement. Unless stated otherwise:
- Fees are exclusive of Goods and Services Tax (GST) and other applicable taxes. These taxes are charged in addition at the prevailing rate.
- Invoices are due within 15 days of issue. International clients pay in the currency stated on the invoice and bear any bank or transfer charges.
- If a payment is late, we may pause work, withhold deliverables and extend timelines until the overdue amount is paid.
- Advance payments and fees for work already completed are non-refundable, except as set out in the Engagement Agreement or required by law.
- Third-party costs, such as hosting, domains, licences, stock assets, app-store fees and paid APIs, are billed at cost or paid by you directly, unless agreed otherwise in writing.
05
Your responsibilities as a client
To help us deliver on time, you agree to:
- give us accurate information, content, feedback and approvals within a reasonable time;
- make sure you own, or have the right to use, every material you supply to us (text, images, logos, data, code, trademarks). You also agree that our use of those materials for your project will not infringe anyone’s rights;
- comply with the laws that apply to your business, product and content, including data-protection, consumer-protection and advertising laws; and
- review and test deliverables promptly. If you raise no written objection within 7 working days of delivery, or you use a deliverable in production, the deliverable is treated as accepted.
Delays caused by missing inputs or feedback may move the project timeline back and may incur additional fees.
06
Intellectual property
Our website
All content on this website belongs to D7HS Tech or its licensors. This includes text, graphics, logos, illustrations, animations, code, and the “Atrix Studio” name and marks. It is protected by the Copyright Act, 1957, the Trade Marks Act, 1999 and other applicable laws. You may view and share pages for personal, non-commercial purposes. Any other copying, reproduction, modification or distribution requires our prior written consent.
Client deliverables
Unless the Engagement Agreement provides otherwise, ownership of the final deliverables created specifically for you passes to you once you have paid all fees for them in full. Until then, we grant you a limited, revocable licence to use the deliverables for review.
What we keep
We keep ownership of our pre-existing materials and of the general tools, frameworks, components, code libraries, templates, methods and know-how we use across projects (“Studio Materials”). Where Studio Materials are part of a deliverable, you receive a non-exclusive, perpetual, royalty-free licence to use them as part of that deliverable.
Portfolio
Unless you ask us not to in writing, or a confidentiality agreement prevents it, we may show the completed work and your name or logo in our portfolio, case studies and marketing. We will never disclose your confidential information in doing so.
Third-party & open-source components
Deliverables may include fonts, images, libraries or open-source software. These remain subject to their own licence terms, and we will tell you about any significant licence obligations.
07
Acceptable use of the website
When using our website, you agree not to:
- break any law, or infringe the rights of D7HS Tech or any third party;
- upload or send content that is unlawful, defamatory, obscene, misleading or harmful. This includes content prohibited under Rule 3 of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021;
- introduce viruses, malware, or any code designed to damage, disrupt or gain unauthorised access to the website, our systems or data;
- scrape, crawl, frame or mirror the website, or use automated means to extract content, without our written permission;
- impersonate any person or misrepresent your connection with any person or organisation; or
- try to probe, scan or test the vulnerability of the website, or to get around its security measures.
If you breach these rules, we may restrict or end your access to the website and report the matter to the appropriate authorities.
08
Confidentiality
Each party will keep confidential any non-public business, technical or financial information it receives from the other. It will use that information only for the engagement. This duty does not cover information that:
- is or becomes public through no fault of the receiving party;
- was lawfully known to the receiving party before it was disclosed;
- is independently developed; or
- must be disclosed by law or a court order.
Confidentiality obligations continue for three years after the engagement ends, or for longer where a separate non-disclosure agreement says so.
09
Third-party links & services
Our website and deliverables may link to, or rely on, third-party websites, platforms and services, such as hosting providers, app stores, payment gateways and APIs. We do not control them and are not responsible for their content, availability, security or practices. Your use of them is governed by their own terms and policies.
10
Disclaimers
The website and its content are provided on an “as is” and “as available” basis, for general information only. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.
We do not guarantee that the website will be uninterrupted, error-free or free of harmful components. We also do not guarantee any particular business outcome from our Services, such as revenue, traffic, rankings, conversions or app-store approval. Any warranty for client deliverables is set out only in the Engagement Agreement.
11
Limitation of liability
To the maximum extent permitted by applicable law:
- D7HS Tech is not liable for any indirect, incidental, special, consequential or punitive damages. It is also not liable for loss of profits, revenue, data, goodwill or business opportunity, however these arise.
- For any engagement, our total aggregate liability is limited to the fees you actually paid us under the relevant Engagement Agreement in the 12 months before the event giving rise to the claim.
- For use of the website alone, where no fees have been paid, our total liability is limited to INR 5,000.
Nothing in these Terms limits liability for fraud, gross negligence or wilful misconduct, or any liability that cannot be limited under applicable law.
12
Indemnity
You agree to indemnify and hold harmless D7HS Tech, its partners, employees and contractors against any third-party claim, loss, liability, damage or expense, including reasonable legal fees, that arises from: (a) materials you supplied to us; (b) your breach of these Terms or of the Engagement Agreement; or (c) your violation of any law or of any third party’s rights.
13
Suspension & termination
We may suspend or end your access to the website at any time if you breach these Terms. Either party may terminate an engagement as set out in the Engagement Agreement. If the agreement is silent, either party may terminate by giving 15 days’ written notice.
On termination, you must pay for all work performed and all expenses incurred up to the termination date. Once that payment is made, we will hand over the work completed so far. Any clause that by its nature should survive termination will do so. This includes the clauses on intellectual property, confidentiality, limitation of liability, indemnity and governing law.
14
Force majeure
Neither party is liable for a delay or failure to perform caused by events beyond its reasonable control. Such events include natural disasters, epidemics, war, civil unrest, government action, power or internet outages, and failures of third-party service providers. Payment obligations for work already delivered are not excused.
15
Governing law & disputes
These Terms are governed by the laws of India. The parties will first try to settle any dispute in good faith, through negotiation, within 30 days of written notice of the dispute.
A dispute that is not resolved in that time will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The arbitrator will be appointed by mutual agreement. The seat and venue of arbitration will be Hyderabad, India, and the proceedings will be conducted in English. Subject to this, the courts at Hyderabad have exclusive jurisdiction.
16
Changes to these terms
We may update these Terms from time to time. The updated version will be posted on this page with a new “Last updated” date. Changes do not affect Engagement Agreements already signed. If you continue to use the website after a change, you accept the revised Terms.
17
General
- Entire agreement. These Terms, together with our Privacy Policy and any Engagement Agreement, are the entire agreement between us on their subject.
- Severability. If any provision is found invalid or unenforceable, the remaining provisions stay in full effect.
- No waiver. A failure or delay in enforcing a right is not a waiver of that right.
- Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or to a successor of our business.
- Relationship. We act as independent contractors. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship.
